1 Acceptance of the Terms

By creating an account, accessing the web application at app.ventidue.app, or using any feature of Ventidue, you represent that you have read, understood, and fully accepted these Terms & Conditions, as well as our Privacy Policy.

2 Description of the Service

Ventidue is a technology tool for organizing and visualizing personal finances, accessible via a progressive web application (PWA). The service includes:

• Financial organization: Recording transactions, managing accounts, cards, budgets, subscriptions, and investment portfolios.
• Visualization and reports: Historical charts, month-over-month comparisons, and projections of installments and subscriptions.
• Quotes: Display of exchange rates and asset prices obtained from third-party public APIs (DolarAPI, Binance).
• Artificial Intelligence assistance (Magic Input): Recording of transactions from natural-language text, voice, or photos of tickets or receipts, processed via AI models (see § 9).
• Informational nature: Ventidue is not a financial advisor, bank, accountant, or attorney. All information displayed is for organizational and informational purposes only.

3 Account Registration and Security

• Required data: To use the service you must register with a name and a valid email address.
• Your responsibility: You are solely responsible for maintaining the confidentiality of your access credentials and for all activities carried out from your account.
• Unauthorized access: You must notify us immediately of any unauthorized use of your account. Ventidue will not be liable for losses arising from unauthorized access caused by your negligence in managing credentials.

4 Service Status (Beta Version)

Ventidue is under active development. By using it as an early adopter, you acknowledge that:

• Technical failures: The system may experience errors, interruptions, or unexpected behavior.
• Data risk: Although we implement resilience measures, there is a minimal risk of partial information loss until the system reaches its stable 1.0 version.
• Continuous improvements: Features may change, be added, or be removed without prior notice during this development stage.

5 Offline Use and Device Responsibility

• Local storage: The app stores data on your device (IndexedDB) so it can work offline. You are responsible for safeguarding physical access to your device.
• Pending synchronization: Do not manually clear your browser data if you have operations pending synchronization, as you could lose those changes irreversibly.

6 Plans and Memberships

• Basic Plan (free): Access to essential features with the following limits: 2 active accounts, 1 card, 1 broker in Portfolio, 2 budget categories, no access to advanced historical reports, and 5 lifetime credits for the AI feature (non-renewable).
• Premium Plan (paid subscription): Full access to all functionality, up to 20 accounts, 20 cards and 20 brokers, full reports, priority support, and 15 daily credits for the AI feature.
• Trial period: 30 days of Premium access without a credit card. The trial is single-use per user and per account; it cannot be reactivated after expiration nor associated with a new account using the same data.
• Early Adopter Plan: A promotional discounted plan offered exclusively to users validated by the team during the beta stage. Available only for payments in Argentine pesos via MercadoPago. Ventidue reserves the right to discontinue this plan at any time; active subscribers retain the promotional price as long as their subscription remains uninterrupted.

7 Payments, Processors, and Currency

Ventidue offers two billing methods depending on the user's location and preference:

• MercadoPago (Argentina): Processes payments in Argentine pesos (ARS) for users with local payment methods. The Monthly, Annual, and Early Adopter plans are available under this processor.
• dLocal Go (international): Processes payments in U.S. dollars (USD) with international cards. The Monthly and Annual plans are available under this processor, subject to a minimum amount set by that provider.
• Method selection: The user chooses the processor manually from within the app. It is not possible to maintain two active subscriptions at the same time; to switch processor you must first cancel the current subscription.
• No storage of card data: Ventidue does not store or directly process credit or debit card data. All payment information is handled by MercadoPago or dLocal Go under their own terms and privacy policies.
• Dynamic Currency Conversion (DCC): Payments processed by dLocal Go may be converted into the user's local currency by the card issuer or by the processor itself. The amount displayed at checkout and on the bank statement may differ from the published USD price depending on the exchange rate applied. Ventidue does not control nor accept responsibility for such conversion.
• Taxes and surcharges: Published prices may not include taxes, surcharges, or additional fees applicable in the user's jurisdiction (for example, in Argentina: PAIS tax, income-tax withholdings, VAT). Such charges are applied directly by the payment processor or by the card issuer, not by Ventidue.

8 Renewals, Cancellation, and Refunds

• Automatic renewal: All subscriptions renew automatically at the end of the paid period (monthly or annual) until the user cancels.
• Cancellation: You may cancel your subscription at any time from the "Subscription" section of your profile. Cancellation is processed immediately and you retain Premium access until the last day of the period already paid.
• Price changes on MercadoPago: Active subscribers keep the original price as long as they do not cancel their subscription. A new price applies only to new subscriptions or to those who cancel and re-subscribe.
• Price changes on dLocal Go: New prices are automatically applied on the next renewal of the subscription. We will notify any modification at least 30 days in advance, giving you the opportunity to cancel before the next billing date.
• Refunds: Given the digital nature of the service and the availability of a 30-day trial without a card, we do not offer refunds for periods already paid, except where applicable consumer-protection law expressly requires it. In such cases the refund will be processed through the same original payment method, net of non-refundable processor fees.
• Failed payments: If an automatic payment fails, the subscription may enter a grace period. If the situation is not resolved, the account will revert to the Basic plan with its respective limits.

9 Artificial Intelligence (Magic Input)

Ventidue offers the Magic Input feature, which allows transactions to be recorded via natural-language text, voice dictation, or photos of tickets and receipts. To process these inputs, Ventidue uses artificial-intelligence models provided by external providers.

• Data sent to the AI model: The text, voice transcription, and/or image you submit, together with the names and identifiers of your accounts, cards, and categories, and the current date. Balances, transaction history, contact data, payment data, and investment information are not sent.
• Usage limits — Basic Plan and Trial: 5 lifetime uses, non-renewable over time. To continue using the feature you must upgrade to the Premium plan.
• Usage limits — Premium Plan: 15 uses per calendar day, automatically reset at the start of the next day according to the timezone configured in your profile.
• Changes to limits: Quotas and renewal rules may be adjusted in the future via an update to these Terms, with notice to the user.
• Accuracy and verification: Magic Input results are AI-generated suggestions and may contain interpretation errors (amounts, categories, dates, installments, etc.). It is the user's sole responsibility to review and confirm each transaction before saving it. Ventidue is not responsible for errors arising from incorrect model interpretations.
• Availability: The AI feature may be temporarily unavailable due to maintenance, third-party provider failure, or quota exhaustion. Ventidue does not guarantee continuous availability of this feature.
• Acceptable use: Magic Input is intended for personal recording of transactions. It is prohibited to evade the usage limits (through multiple accounts, scripts, or client manipulation), to automate calls to the endpoint outside the app's normal flow, or to use it to process content that does not correspond to a personal financial transaction.

10 Intellectual Property

The Ventidue application, including its source code, visual design, brand, logos, and all content generated by the team, is the exclusive property of its creators and is protected by applicable intellectual property laws. You are granted a limited, personal, and non-transferable license to use the service. You may not copy, modify, distribute, or commercially exploit any part of Ventidue without express written authorization.

11 Prohibited Uses

When using Ventidue, you agree not to:

• Unlawful activities: Use the service to record, conceal, or facilitate illegal or fraudulent operations.
• Reverse engineering: Attempt to decompile, disassemble, or extract the application's source code.
• Unauthorized automation: Use bots, scrapers, or other automated tools to access or extract data from the service.
• AI feature abuse: Evade or manipulate the Magic Input usage limits through multiple accounts, scripts, local client manipulation, or any evasion technique; attempt to manipulate the model's behavior (prompt injection); or access the AI endpoint outside the application's normal flow.
• Payment fraud: Use of stolen cards, abusive chargebacks, or any practice that compromises the relationship with the payment processors.
• Interference: Attempt to compromise the security, integrity, or availability of the service or other users' data.

12 Account Suspension and Termination

• By the user: You may delete your account at any time from Settings > Delete Account. Your information will enter a 30-day deactivation period before permanent deletion.
• By Ventidue: We reserve the right to suspend or delete accounts that violate these Terms, engage in fraudulent activities, or put the security of the service or other users at risk, with or without prior notice depending on the severity of the case.

13 Disclaimer of Liability

• We are not advisors: Ventidue is an organization tool. We do not provide investment, legal, or accounting advice. We are not responsible for economic decisions made based on the data in the app.
• Third-party quotes: Currency and asset prices are provided by third-party APIs (DolarAPI, Binance) and may present delays or inaccuracies. We do not guarantee their accuracy or real-time updates.
• AI results: Magic Input generates automated suggestions from artificial-intelligence models. These results may be incorrect, incomplete, or biased. Ventidue does not guarantee parsing accuracy; the user is solely responsible for verifying and confirming each transaction before saving it.
• Currency conversion and bank fees: The final amounts charged to the user may differ from the published price due to exchange rates, dynamic currency conversion (DCC), card-issuer fees, tax withholdings, or other charges applied by third parties. Ventidue does not control nor accept responsibility for these additional charges.
• Service interruptions: We do not guarantee that the service will be uninterrupted or error-free. To the maximum extent permitted by law, Ventidue will not be liable for indirect, incidental, or consequential damages arising from the use of the service.

14 Changes to the Service and to the Terms

• To the service: We may modify, add, or discontinue features of the service at any time, especially during the Beta stage, without prior notice.
• To these terms: We may update these Terms periodically. We will notify you of significant changes by email or via a notice within the app. Continued use of the service after notification implies your acceptance of the new terms.

15 Governing Law and Jurisdiction

These Terms are governed by the laws of the Argentine Republic. In the event of any controversy arising from the use of the service, the parties submit to the jurisdiction of the Ordinary Courts of the Autonomous City of Buenos Aires, waiving any other jurisdiction that may apply.
